Perfect Referral — Terms of Service

Provider: Threshold Health Incorporated d/b/a Beeline Health ("Beeline," "we," "us," "our")
Service: The Perfect Referral application programming interface and related websites at perfectreferral.com, api.perfectreferral.com, developer.perfectreferral.com and docs.perfectreferral.com (collectively, the "Service")


1. Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement between you (and, if

you act on behalf of an organization, that organization) ("you," "your") and

Beeline. Our Privacy Policy is incorporated into these Terms by reference.

When you create an account, you are required to affirmatively indicate your

agreement to these Terms and acknowledgment of our Privacy Policy — for example,

by checking a box stating that you have read and agree to the Terms of Service

and Privacy Policy before your account is created. You may not create an account

or obtain an API token without doing so. By creating an account, requesting or

using an API token, or otherwise accessing or using the Service, you agree to

these Terms.

If you do not agree to these Terms, do not create an account or use the Service.

2. Definitions

3. The Service; free tier

Beeline provides a referral-intelligence API that accepts Provider identifiers and returns scope-of-practice estimates and related information. The Service is currently offered free of charge and may be offered on a beta or evaluation basis. We may introduce paid tiers, features, or data products governed by separate or supplemental terms. The Service is provided for use by software developers and organizations and is not directed to or intended for consumers or patients.

4. Nature of the Output — estimates, not facts

You acknowledge and agree that the Output consists of probabilistic estimates derived from administrative claims data and statistical modeling. The Output is not, and must not be treated as, a statement of fact, a credential, or a verification. In particular, the Output:

You are responsible for independently verifying any information before relying on it, and for exercising your own judgment and that of qualified professionals in any decision affecting patient care.

5. Permitted use and prohibited uses

Subject to these Terms, you may use the Output to inform and support referral-routing and provider-matching workflows within your own application or organization.

You may not use the Service or the Output, and may not permit any third party to use them, to:

6. No PHI; not a Business Associate; HIPAA

The standard Service is designed to operate without Protected Health Information. You must not transmit any PHI, patient identifiers, or patient-level data to the Service. You take in Provider identifiers and receive Provider-level Output; no patient data is required or invited.

With respect to your use of the standard Service, Beeline is not a Business Associate of yours within the meaning of HIPAA, and no Business Associate Agreement ("BAA") is required or provided. Any use of the Service that would involve PHI, or that would cause Beeline to act as a Business Associate, is not authorized under these Terms and requires a separate written agreement, including a BAA, executed in advance. Beeline may, in its sole discretion, enter into such an agreement to support arrangements that involve PHI, but is under no obligation to do so, and nothing in these Terms obligates Beeline to provide a BAA for the standard Service.

7. Intellectual property; license to Output

As between the parties, Beeline owns all right, title, and interest in and to the Service, the scope-of-practice estimates and methodology, and all Output, models, and derived work product, excluding any underlying public-domain source data. Source data obtained from U.S. government records is in the public domain; the estimates and Output generated by Beeline are proprietary.

Subject to your compliance with these Terms, Beeline grants you a limited, non-exclusive, non-transferable, revocable license to use the Output within your own application or organization for the permitted purposes in Section 5. No other rights are granted. You may not redistribute, resell, sublicense, or publicly republish the Output, or use it to construct a competing dataset, except as expressly permitted in writing.

8. Information about Providers; corrections

The Output includes estimates about identified Providers derived from publicly available government records and statistical modeling. Beeline maintains a process by which a builder may report a suspected error, and by which a Provider may request review of an estimate concerning them, as described in our documentation and Privacy Policy. Beeline corrects demonstrable data errors and may withdraw an estimate where coverage is shown to be incomplete; Beeline does not add positive ("supported") labels on request and does not modify estimates absent a basis in the evidence.

9. Acceptable use; rate limits; security

You will use the Service in compliance with all applicable laws and will not interfere with or disrupt the Service. We may impose and adjust rate limits and usage quotas. You are responsible for safeguarding your API Token and for all activity under it, and will promptly notify us of any suspected compromise.

10. Communications and email consent

By creating an account, you consent to receive transactional communications relating to your account, the Service, security, and these Terms; these are not promotional and you may not opt out of them while you use the Service.

We may also send product and marketing communications. You may opt out of marketing communications at any time using the unsubscribe mechanism in each message or by contacting privacy@threshold.health. We will honor opt-out requests promptly and will comply with the CAN-SPAM Act, including accurate headers, identification of promotional content, and a valid physical postal address.

11. Changes to the Service

The Service is provided on an evolving basis. We may modify, limit, meter, suspend, or discontinue the free Service or any feature at any time, and may introduce paid tiers or data products under separate terms. We will use reasonable efforts to provide notice of material changes that adversely affect active integrations.

12. Disclaimer of warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. Without limiting the foregoing, Beeline does not warrant that the Output is accurate, complete, current, or suitable for any particular use, and the Output is subject to the limitations described in Section 4 and in our documentation. The underlying public data is only as accurate as submitted by its government sources.

13. Limitation of liability

To the maximum extent permitted by law, Beeline will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to the Service or the Output, under any theory of liability, even if advised of the possibility.

Beeline's total aggregate liability arising out of or relating to the Service and these Terms will not exceed the greater of (a) the total amounts you paid to Beeline for the Service in the three months preceding the claim, or (b) US$100.

14. Indemnification

You will defend, indemnify, and hold harmless Beeline and its officers, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service or the Output, including any decision you make using the Output; (b) your violation of these Terms or applicable law; or (c) your transmission of any PHI or patient data to the Service in breach of Section 6.

15. Suspension and termination

We may suspend or terminate your access at any time, including for violation of these Terms, suspected abuse, or to protect the Service or third parties. You may stop using the Service at any time. Sections 4–8 and 12–18 survive termination.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted with an updated effective date and, where appropriate, communicated to account holders. Your continued use after changes take effect constitutes acceptance.

17. Governing law; dispute resolution

These Terms, and any dispute arising out of or relating to these Terms or the Service, are  governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules and excluding the U.N. Convention on Contracts for the International Sale of Goods. The parties agree that Delaware law governs notwithstanding Beeline's principal place of business or your location.

Subject to any arbitration provision below, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in San Diego County, California, for any dispute not subject to arbitration, and waive any objection to venue in those courts.

18. Miscellaneous

These Terms, with the Privacy Policy, are the entire agreement between the parties regarding the Service. If any provision is held unenforceable, the remainder remains in effect. Beeline may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign without our consent. Our failure to enforce a provision is not a waiver. Nothing in the Service implies endorsement by, or affiliation with, any government agency or data source; references to government data sources are for provenance only.
